BUSINESS ESSENTIALS
Keep your company ready for its next chapter.
Understand recurring filings, company changes and the information your advisers need. A practical guide for Malaysian private companies.
Explore the guideSeparate obligations. Separate timelines.
An annual return, financial statements and a tax return serve different purposes. Completing one does not complete the others.

| Matter | Purpose / timing | Prepare with your team |
|---|---|---|
| Annual return | Company particulars; generally due within 30 days of the incorporation anniversary | Confirm directors, shareholders, addresses and business activities |
| Financial statements | Financial performance and position; private-company lodgement is generally within 30 days of circulation to members | Complete accounts and review preparation, audit eligibility and circulation deadlines separately |
| Beneficial ownership (BO) | Identify and maintain information about ultimate ownership or control | Confirm ownership changes, supporting information and applicable reporting deadlines |
| Tax compliance | Separate HASiL obligations based on the company’s circumstances | Coordinate records, tax estimates, returns and payments with your tax adviser |
Your incorporation anniversary and financial year end may differ. Agree a calendar for your company; do not wait for one annual reminder to address every obligation.
Changes should not wait for year end
Directors & shareholders
Speak to your secretary before appointments, resignations, share transfers or allotments so approvals, documentation and filings can be planned.
Addresses & business activity
Report changes to the registered office, business address or activities promptly. Different changes may require different notifications.
Ownership & control
Changes can affect beneficial ownership even when the immediate shareholder remains the same. Provide the underlying ownership information.
Financial year & advisers
Discuss a proposed year-end change or change of auditor or tax agent before implementation, including outstanding work and handover.
Know what support you need
We clarify the work before quoting, based on your company’s records, deadlines and outstanding matters.

| Your situation | Useful information to prepare | Support to discuss |
|---|---|---|
| Annual filings approaching | Company number, anniversary, financial year end and latest filings | Secretarial review, documents and submission coordination |
| Moving from another secretary | Current secretary details, statutory records and outstanding work | Appointment, handover and a review of upcoming obligations |
| Records or accounts need attention | Latest accounts, available records and outstanding periods | Accounting support and coordination with relevant professional partners |
| Corporate changes planned | Proposed change, people involved and intended date | Required approvals, documentation and filing scope |
Accounting preparation, audit, tax and secretarial filings are distinct workstreams. We will identify what is included, what is separate and where an associated professional partner is needed.
QUESTIONS, ANSWERED
A little more clarity.
Does a dormant company still have obligations?
Yes. Not trading does not automatically remove annual, record-keeping or tax responsibilities. Applicable exemptions and filing requirements should be reviewed for the company’s circumstances.
Does audit exemption mean no financial statements?
No. Audit exemption and the obligation to prepare, circulate and lodge financial statements are different matters. Eligibility and applicable reporting requirements need a separate review.
Can you help if a deadline has passed?
Share the relevant notice, dates and latest records so we can assess the outstanding work and next steps. Any extension, relief or regulatory decision is subject to the authority’s requirements.
